EDISON LABS agreement for courses and education materials

The following terms apply to 1) enrollment in classes offered by Edison Labs, and 2) orders for Edison Lab's education materials. These terms, along with any applicable license agreement, are the complete agreement between us regarding the courses or education materials we provide and replace any prior oral or written communications between us. Attendance at a class or your use of any education materials constitutes your agreement to these terms and conditions. Occasionally, we have offerings with additional or different terms and conditions. If so, we will provide those terms and conditions to you.

Courses and education materials

We list our generally available courses and education materials online. We may add, modifty or withdraw courses and education materials at any time without notice. Scheduled classes, if any, are subject to change for various reasons, including insufficient number of students or the availability of the instructor.

Scheduling classes

We will specify the dates and locations of public classes. Private classes will be schedule as appropriate for both the client and Edison Labs LLC. We may cancel any scheduled class on notice.

PLEASE NOTE: All classes require a minimum of 12 students for us to conduct a class. If the minimum class size if not reached the class date can be changed or canceled. You will be notified in advance of such a change and can request a full refund. Class locations may also be moved within 10 mile radius of the specified location to meet scheduling demands. If this occurs you will be notified in advance.


Accommodations for students with disabilities

Our locations for some cases provide accessibility for students with disabilities. Please see the site listed on the web listing for the class on the specific accessibility options, or contact us in advance for more information..

Prices and payment

Prices for public classes will be those in effect on the date the class begins. Early registration will lock in the price paid at the time of your registration. Prices include the use of required education materials, and in some cases, supplied beverages and snacks. They do not include taxes or student travel and living expenses. EDISON LABS reserves the right to increase prices at any time without prior notification.

Due to our requirements all registration and payments must be received in advance. Class confirmations will be sent to those who have paid. Your payment secures your seat in the registered class. All payments must be made with a valid credit card, or PayPal account through the Edison Labs registration process.

You agree to pay amounts, including applicable taxes and fees, as we specify at the time of registration.

Cancellation charges

If you canel within the first three days after signing up, you will receive a refund of the price paid less a $100 service charge. If you cancel after this three day grace persiod, up to 14 days prior to the schedule start date of the class, you will be refunded 50% of your price paid; You will be charged the full price of a public class if you do not cancel at least fourteen calendar days prior to the scheduled start date or if you do not show up for the class.

Conference cancellation charges will be specified on the conference Web site or in the conference brochure for the event.

Patents and copyrights

All rights reserved by the Instructor and/or Edison Labs, or the appropriate Patent or copyright holder for all Class materials and shall not be reused for another class, reproduced, copied, edited, altered, posted on a website or blog, or transmitted without written permission. No photography, or recording OF ANY KIND will be allowed in a class without express written permission of Edison Labs LLC.

Limitation of liability

Circumstances may arise where, because of a default on our part or other liability, you are entitled to recover damages from us. In each such instance, except for the payments referred to and described above, we are liable only for the charges for the class or education material that is the subject of the claim.

This limit also applies to any of our subcontractors. It is the maximum for which we are collectively responsible.

Items for which we are not liable

Under no circumstances are we or our subcontractors liable for any of the following:

1. Third-party claims against you for losses or damages;
2. loss of, or damage to, equipment, personal items or your records or data; or
3. special, incidental, or indirect damages or for any economic consequential damages (including lost profits or savings), even if we are informed of their possibility.

License

Any machine readable education materials that we provide to you will be subject to the terms and conditions of a license agreement. We will inform you of the applicable agreement.

Warranty

THERE ARE NO EXPRESS WARRANTIES EXCEPT THOSE CONTAINED HEREIN OR IN ANY APPLICABLE LICENSE AGREEMENT. THERE ARE NO IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE MAKE NO WARRANTY AS TO RESULTS TO BE ATTAINED BY ATTENDING OUR CLASSES OR USING OUR EDUCATION MATERIALS.

Changes to this agreement

We may modify these terms and conditions on written notice. The modified terms and conditions will apply to your enrollment or order unless you cancel such enrollment or order prior to the effective date. Otherwise, for a change to be valid, both of us must sign it. Additional or different terms and conditions in any order or communication from you are void.

General

You agree not to copy our copyrighted material without our prior written consent.

You agree not to use recording equipment in our classes without our prior written consent.

You agree not to use our trademarks, trade names, or other designations in any promotion or publication without our prior written consent.

You agree not to assign, or otherwise transfer your rights under this Agreement without our prior written consent. Any attempt to do so is void.

Neither of us is responsible for failure to fulfill any obligations due to causes beyond its control.

Neither of us will bring a legal action (under this Agreement) more than two years after the cause of action arose.

Any terms of this Agreement, which by their nature extend beyond its termination, remain in effect until fulfilled, and apply to respective successors and assignees.

Same day registration
Any additions or walk-ins to class on the day of instruction will be accepted if the class is not full and a valid payment is received. Checks will not be accepted.

Publishing Rights
We reserve the right to publish Company Names of registered attendees in marketing and promotional materials.

Substitutions
Paid registrants must submit the substitutes to Edison Labs in writing for their consent and approval prior to the start of the class. If not received then no substitutions are allowed.

Later arrival/Early Departure or Missed days
If for any reason you must leave a class prior to it’s conclusion, or you arrive late, or leave early no partial refunds will be granted.

Other
Some classes may require the prior purchase of a book. Books will not be available in the class. Some classes may require you to bring your own computer, notebook, or phone for use during the class. Edison Labs will supply no equipment for students.


The laws of the State of California govern this Agreement.
